Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you," "Customer," or "User") and Yielding Bear LLC ("Yielding Bear," "we," "us," or "our") governing access to and use of yieldingbear.com, the Grizzly / Yielding Bear API gateway, dashboards, billing, documentation, plugins/skills, booking tools, Catabasis-related surfaces we operate, and related products and services (the "Services").
By creating an account, obtaining an API key, accessing the website, or using any part of the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
If you do not agree, do not use the Services. Enterprise customers may supersede parts of these Terms only via a separate written agreement signed by Yielding Bear (e.g. an Order Form, MSA, or Forward Deployed Engineering statement of work).
1. The Services
Yielding Bear provides software and related services that enable access to large language models and related AI capabilities through an OpenAI-compatible (and similar) API surface, intelligent and manual model routing (including offerings marketed as Grizzly, Grizzly Max, Grizzly 1.0G, and related routers), usage metering, developer dashboards, documentation, optional subscriptions and credit wallets, and related tooling. We may also offer professional services such as Forward Deployed Engineering under separate scoping.
The Services are a technology gateway and software platform. We are nota common carrier, freight broker, insurer, bank, law firm, medical provider, or fiduciary. Marketing phrases such as "Ship More. Spend Less." refer to software shipping velocity and infrastructure cost efficiency, not physical shipping or guaranteed savings.
Features, model catalogs, pricing, rate limits, free tiers, and routing behavior may change. We may add, modify, or discontinue features with reasonable notice when practicable. Published savings calculators and comparisons are illustrative "what-if" tools, not warranties of actual cost outcomes.
2. Eligibility and accounts
- You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract.
- You must provide accurate registration information and keep it updated.
- You are responsible for all activity under your accounts and API keys, including keys shared with agents, employees, or contractors.
- Keep credentials confidential. Notify us promptly at grizzly@yieldingbear.com of suspected unauthorized access.
- We may refuse, suspend, or terminate accounts for violations, fraud risk, nonpayment, or legal compliance.
- One person or entity should not maintain multiple free-tier accounts to evade limits without our written permission.
3. API keys, access, and license
Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal development purposes. We retain all rights not expressly granted.
- Do not share secret API keys publicly (e.g. client-side browsers, public repos) without appropriate controls.
- Do not reverse engineer, scrape non-public areas, bypass rate limits, or probe for vulnerabilities except via coordinated disclosure.
- Do not resell raw access to the Services as a white-label competing gateway without a written partner agreement.
- Agent frameworks (e.g. Hermes, OpenClaw) may call the API on your behalf; you remain responsible for their usage and content.
4. Customer Content and outputs
4.1 Your content
"Customer Content" means prompts, messages, files, embeddings inputs, tools definitions, and other data you or your end users submit to the Services. You retain your rights in Customer Content. You grant Yielding Bear a worldwide license to host, process, transmit, route, cache (where enabled), and display Customer Content solely to provide and secure the Services and as described in the Privacy Policy.
4.2 Outputs
Subject to third-party model provider terms and applicable law, as between you and Yielding Bear, you may use model outputs generated for you. Outputs may be non-unique. You are responsible for reviewing outputs before relying on them.
4.3 Your responsibilities
- You represent that you have all rights and lawful bases needed to submit Customer Content (including personal data of end users).
- You must not submit content that infringes IP, privacy, or other rights, or that violates export, sanctions, or other laws.
- You must comply with the acceptable use policies of upstream model providers for models you use or that routing selects.
- You are solely responsible for decisions made using outputs, including high-risk domains (legal, medical, financial, employment, safety-critical systems).
5. Third-party models and infrastructure
Fulfillment of requests may involve third-party model providers, inference hosts, proxies, and fallback gateways (including infrastructure we operate and providers such as OpenRouter or other upstreams). Your use of those models is subject to their terms, usage policies, and privacy notices. We are not responsible for third-party model outages, content filters, training practices, retention, or policy enforcement, except to the extent required by non-waivable law.
Model availability, latency, and quality vary. Routing aims to select suitable models based on configuration and heuristics; it does not guarantee optimal cost, quality, or performance for every request.
6. Plans, fees, credits, and taxes
6.1 Plans
We offer free access (subject to limits), pay-as-you-go credits, subscriptions (including Grizzly Max and other tiers), team/enterprise plans, and custom professional services. Entitlements (API key limits, RPM, included usage pools, feature flags) are described on pricing pages, in-product, or in an Order Form and may change prospectively.
6.2 Credits and usage
- Credit packs and usage fees are billed as described at checkout or in the dashboard (e.g. minimum credit purchases such as $10 and preset packs).
- Unless expressly stated otherwise, purchased credits do not expire for inactivity alone, but accounts closed for ToS violations or fraud may forfeit unused balances.
- Usage is metered using our logs (tokens, requests, or other units). Our metering is the system of record for billing disputes unless you show clear systematic error.
- Included subscription allowances (if any) reset per billing period and do not roll over unless we say otherwise in writing.
- Overage may draw from credits or require payment before continued premium access.
6.3 Subscriptions
Paid subscriptions renew automatically at the then-current rate until canceled. You authorize us and our payment processor (Stripe) to charge your payment method for recurring fees, usage, and applicable taxes. Cancel via the billing portal or by contacting support before the renewal date to avoid the next charge. Cancellation stops future renewals; it does not automatically refund the current period unless required by law or our written refund policy.
6.4 Refunds
Fees are generally non-refundable except: (a) where required by law; (b) duplicate charges caused by our billing error; or (c) as we expressly agree in writing. Credit purchases are typically final once available in your wallet. Professional services fees follow the applicable SOW.
6.5 Price changes
We may change prices with notice for future periods. Continued use after the effective date of a price change constitutes acceptance for subsequent usage/subscription periods.
6.6 Taxes
Fees are exclusive of taxes unless stated. You are responsible for applicable taxes, duties, and withholdings, other than taxes on our net income.
6.7 Nonpayment
We may suspend or terminate access for failed payments, chargebacks, or negative balances. You remain liable for amounts owed and reasonable collection costs permitted by law.
7. Acceptable use
You agree not to use the Services to:
- Violate any law or regulation (including export controls and sanctions)
- Exploit, harm, or attempt to harm minors; create or distribute child sexual abuse material
- Engage in scams, phishing, social engineering, or large-scale spam
- Develop or disseminate malware, ransomware, or unauthorized access tools targeting systems you do not own or lack permission to test
- Conduct offensive security attacks, credential stuffing, or vulnerability exploitation against third parties without authorization
- Generate or disseminate unlawful content, including certain deepfakes used for fraud or non-consensual intimate imagery where prohibited
- Infringe intellectual property or misappropriate trade secrets
- Attempt to bypass safety filters, rate limits, authentication, or billing controls
- Interfere with or disrupt the Services or other customers
- Use the Services for high-risk activities where failure could lead to death, personal injury, or severe environmental damage without appropriate human oversight and safeguards
- Violate third-party model provider acceptable use policies
We may investigate violations, remove content from our systems where feasible, suspend access, and report to law enforcement. We may use automated and manual review for abuse detection.
8. Professional services / Forward Deployed Engineering
If you purchase Forward Deployed Engineering or other custom work, a separate statement of work or order will define scope, deliverables, IP assignment or license, fees, and acceptance. Unless that document says otherwise, pre-existing Yielding Bear IP and tools remain ours; deliverables specified as work product for you may be assigned or licensed as stated in the SOW. These Terms apply to the extent not inconsistent with the SOW.
9. Intellectual property
- The Services, software, documentation, branding, model routing logic, dashboards, and site content are owned by Yielding Bear or its licensors.
- You may not copy, modify, or create derivative works of our software except as allowed by law or written license.
- Feedback you provide may be used by us without obligation to you.
- All trademarks are property of their owners. Third-party model names are used for identification only.
10. Confidentiality
Non-public technical and commercial information disclosed by either party should be protected with reasonable care and used only for performing under these Terms. Customer Content is handled under the Privacy Policy and Section 4. Obligations do not apply to information that is public, independently developed, or rightfully received from a third party without duty of confidentiality.
11. Privacy
Our processing of personal data is described in the Privacy Policy. You must provide legally required notices to your end users when you submit their data through the Services.
12. Beta / experimental features
We may offer alpha, beta, or experimental features "as is," possibly with lower reliability, additional logging, or premature discontinuation. Do not rely on beta features for production-critical workloads without your own safeguards.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT OUTPUTS WILL BE ACCURATE, COMPLETE, OR FIT FOR YOUR PURPOSE. WE DO NOT GUARANTEE SPECIFIC COST SAVINGS, LATENCY, MODEL SELECTION, OR UPTIME UNLESS EXPRESSLY COMMITTED IN A SEPARATE WRITTEN SLA (FOR EXAMPLE, CERTAIN ENTERPRISE AGREEMENTS).
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YIELDING BEAR AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION; ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO YIELDING BEAR FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID ANY AMOUNTS.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted. Nothing excludes liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited by law.
15. Indemnification
You will defend, indemnify, and hold harmless Yielding Bear and its affiliates, officers, and employees from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Customer Content; (b) your use of the Services in violation of these Terms or law; (c) your products or services that incorporate outputs; (d) disputes between you and your end users; or (e) your infringement or violation of third-party rights.
16. Suspension and termination
You may stop using the Services and close your account at any time. We may suspend or terminate access immediately for ToS violations, legal risk, nonpayment, or to protect the platform. We may discontinue the Services with reasonable notice when practicable. Upon termination, your license ends; provisions that by nature should survive (including IP, fees owed, disclaimers, limitations, indemnity, and governing law) will survive.
17. Export and sanctions
You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. embargoes, and are not a denied/restricted party. You will not use the Services in violation of export control or sanctions laws.
18. Government users
The Services are commercial computer software and commercial technical data. If acquired by or on behalf of a U.S. government entity, rights are limited to those customarily provided to the public under these Terms.
19. Modifications to Terms
We may update these Terms by posting a revised version with a new effective date. Material changes will be highlighted when reasonable (email or in-product notice). Continued use after the effective date constitutes acceptance, except where mandatory law requires express consent. If you do not agree, stop using the Services and cancel paid plans.
20. Governing law and venue
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Subject to any mandatory consumer protections, exclusive venue for disputes lies in the state or federal courts located in Wyoming, and you consent to personal jurisdiction there. Either party may seek injunctive relief in any court of competent jurisdiction for IP or unauthorized access claims.
Dispute resolution note: These Terms do not impose mandatory arbitration or a class-action waiver. If we later propose arbitration or class waiver terms, we will present them expressly for acceptance and will not bury them without notice.
21. Miscellaneous
- Entire agreement: these Terms, the Privacy Policy, and any Order Form/SOW are the entire agreement regarding the Services and supersede prior oral or written terms on the same subject.
- Severability: if a provision is unenforceable, the remainder stays in effect.
- Waiver: failure to enforce a provision is not a waiver.
- Assignment: you may not assign these Terms without our consent; we may assign to an affiliate or successor.
- No third-party beneficiaries except as expressly stated.
- Force majeure: neither party is liable for delays beyond reasonable control (including major cloud/provider outages, war, natural disasters, or internet failures), except for payment obligations.
- Notices: we may notify you via email, dashboard, or site posting. Legal notices to us: grizzly@yieldingbear.com.
- Relationship: independent contractors; no partnership or employment created.
- Headings are for convenience only.
